Terms & Conditions
The terms on which 100 Crosses Ltd supplies services, including dedicated supply terms for petroleum product transactions.
1. About these terms
These Terms and Conditions govern the supply of services by 100 Crosses Ltd (“100 Crosses”, “we”, “us”) to a client or customer (“you”, “the Cross”). They apply to every engagement unless replaced or supplemented by a signed written agreement, which will take precedence to the extent of any conflict.
Petroleum supply transactions are additionally governed by the Oil & Gas supply terms in section 14 and by the individual supply contract for that transaction.
2. Services and scope
We provide travel support, IT and AI integration consultancy, business and administrative support, business-to-business petroleum product sourcing and wholesale supply, and related commercial coordination.
The scope of each engagement is set out in a written scope document, quotation or proposal issued at the “Opening the Cross File” stage. Anything not expressly included in that document is outside scope. Additional work is chargeable and requires written agreement before it is carried out.
3. Fees, quotations and payment
- Fees are confirmed in writing before chargeable work begins.
- Quotations are valid for the period stated on them. Where no period is stated, a quotation lapses 14 days after issue.
- Unless stated otherwise, fees are exclusive of VAT and of third-party costs.
- Invoices are payable within the period stated on the invoice. Where no period is stated, payment is due within 14 days of the invoice date.
- We may suspend work on an engagement where an invoice remains unpaid after its due date, having given you written notice.
- We may charge statutory interest and recovery costs on late commercial payments in accordance with applicable law.
4. Third-party costs
Many engagements involve costs charged by third parties — airlines, hotels, tour operators, transfer companies, appointment and visa-centre fees, software vendors and licence fees, inspection and testing providers, transport and logistics operators, customs agents, and product suppliers.
Third-party costs are identified separately from our own fees. They are set by the third party, are subject to that third party’s own terms, and may change until confirmed and paid. We are not responsible for a third party’s pricing, availability, performance or terms.
5. Cancellation and termination
Either party may terminate an engagement by written notice. On termination you remain liable for work properly carried out up to the date of termination, for third-party costs already committed on your instruction, and for any non-refundable amounts already paid to third parties.
We may terminate or decline to continue an engagement immediately where continuing would breach applicable law, where information provided to us proves materially inaccurate, where due-diligence requirements are not met, or where payment obligations are not honoured.
6. Refunds
Refunds are governed by our Refund & Cancellation Policy, which forms part of these terms.
7. Supplier dependency
Where delivery of a service depends on a third party, our obligation is to coordinate that third party diligently and to keep you informed. It is not an obligation to guarantee the third party’s performance, availability, pricing or timescales.
8. Your responsibilities
- Provide accurate, complete and timely information, and tell us promptly if it changes.
- Hold the authority to instruct us and, where relevant, to bind the entity you represent.
- Obtain any consents, permissions, licences or authorisations that are your responsibility.
- Review documents we prepare and confirm that names, dates, specifications and quantities are correct before they are submitted or acted upon.
- Grant system access only where you are entitled to do so, and only under a written authority.
- Comply with applicable law, including sanctions and trade-control requirements.
9. Service limitations and disclaimers
100 Crosses Ltd is not a law firm and is not authorised or regulated by the Solicitors Regulation Authority. It is not registered with the Immigration Advice Authority. It is not authorised or regulated by the Financial Conduct Authority. It is not an estate agency and does not carry on regulated property activity.
We do not provide legal, immigration, financial, tax, investment or regulated property advice, and nothing we produce may be relied upon as such. Full detail is set out in the Service Disclaimer.
10. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, our total aggregate liability arising out of or in connection with an engagement is limited to the total fees paid by you to us for that engagement, excluding third-party costs. We are not liable for indirect or consequential loss, loss of profit, loss of contract, loss of anticipated savings, loss of business opportunity or loss of goodwill.
11. Confidentiality and data protection
Each party will keep the other’s confidential information confidential and use it only for the purposes of the engagement. Personal data is processed in accordance with our Privacy Notice and applicable data protection law.
12. Complaints
Complaints are handled under our Complaints Policy. We acknowledge complaints within 5 business days and aim to respond substantively within 20 business days.
13. Governing law and jurisdiction
These terms and any dispute arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings to enforce a debt in any court of competent jurisdiction.
14. Oil & Gas supply terms
The following additional terms apply to every petroleum product transaction. Where they conflict with sections 1–13, these terms prevail for that transaction; where they conflict with a signed supply contract, the supply contract prevails.
14.1 Product specification
The product supplied is the product identified by grade and specification in the contract. No other characteristic, origin, performance or fitness is warranted. Any specification stated in correspondence before contract is indicative only.
14.2 Quantity and tolerance
Quantities are subject to the operational tolerance stated in the contract. Delivery within tolerance constitutes full performance and is invoiced on the quantity actually delivered.
14.3 Price, quotation validity and currency
Prices are those stated in the contract, in the currency stated. Quotations are time-limited and lapse on the stated expiry. Where a price is expressed as a market-linked or floating price, the reference source, pricing window and conversion basis are stated in the contract.
14.4 Taxes and duties
Unless the contract states otherwise, prices exclude VAT, excise duty, import duty and any other tax, levy or charge. Responsibility for these follows the delivery term agreed.
14.5 Payment and payment security
Payment terms, security requirements — advance payment, letter of credit, documentary collection, bank guarantee or approved credit — are agreed in the contract. Credit terms are available only where our due-diligence and credit requirements are satisfied, and may be withdrawn on notice.
14.6 Delivery terms, title and risk
Delivery terms are agreed in the contract and, where Incoterms are referenced, are interpreted in accordance with the edition stated. Title and risk pass at the points specified in the contract; where not specified, risk passes on delivery at the agreed delivery point and title passes on receipt of payment in full.
14.7 Inspection, testing and acceptance
Where the contract provides for independent inspection or testing, the appointed inspector’s certificate is final and binding on quantity and quality at the point of measurement, save in the case of manifest error or fraud. Acceptance procedures and timescales are as stated in the contract.
14.8 Transport, storage and handling
Physical transport, storage and handling are performed by qualified, appropriately authorised third parties. 100 Crosses Ltd is not a licensed fuel storage or transport operator and does not itself store, carry or handle petroleum products.
14.9 Sanctions, trade controls and compliance
Each party warrants that it is not subject to sanctions, is not owned or controlled by a sanctioned person, and will not use, resell or divert the product in breach of any sanctions or trade-control regime. We may suspend or terminate any transaction immediately where compliance concerns arise, without liability.
14.10 Quality and quantity claims
Claims relating to quality or quantity must be notified in writing within the period stated in the contract and supported by the relevant inspection evidence. Claims notified outside that period, or without supporting evidence, are not admissible.
14.11 Cancellation
A confirmed petroleum contract may be cancelled only in accordance with its terms. Costs already incurred with suppliers, inspectors, transport operators and customs agents remain payable.
14.12 Force majeure
Neither party is liable for failure or delay caused by an event beyond its reasonable control, including refinery or terminal outage, transport disruption, port closure, extreme weather, industrial action, act of government, embargo or the imposition of sanctions. Affected obligations are suspended for the duration of the event; if it continues beyond the period stated in the contract, either party may terminate the affected transaction.
14.13 Limitation of liability
For petroleum transactions, and subject to the carve-outs in section 10, our aggregate liability is limited to the contract value of the affected delivery. We are not liable for loss of profit, loss of production, loss of use, demurrage or consequential loss.
14.14 Dispute resolution
The parties will first attempt to resolve any dispute by good-faith discussion between senior representatives within 21 days. Failing resolution, the dispute is determined by the courts of England and Wales unless the contract provides for arbitration, in which case the seat, rules and number of arbitrators are as stated in the contract.
14.15 Status of SIC code 46711
SIC code 46711 is a Standard Industrial Classification code describing wholesale of petroleum and petroleum products. It is a statistical classification of business activity. It is not a licence, permit, registration or authorisation, and nothing in these terms or on our website should be read as implying that it is.
